1. Who runs Chatsvia
Chatsvia is a software service owned and operated by iiniit, our parent company. In these Terms of Service ("Terms"), the words "we", "us", "our", or "Chatsvia" all refer to iiniit. The words "you" or "your" refer to the person or business using Chatsvia.

2. Acceptance of these terms
By creating an account, connecting a Facebook Page, or otherwise using Chatsvia, you confirm that you have read, understood, and agreed to these Terms, our Privacy Policy, and our Refund Policy. If you are using Chatsvia on behalf of a company or other entity, you confirm that you have authority to bind that entity to these Terms.
If you do not agree to any part of these Terms, please do not use Chatsvia.
3. Eligibility
To use Chatsvia you must be at least 18 years old (or the age of majority in your jurisdiction), legally capable of entering into a binding contract, and not prohibited from using the service under applicable law. If you use Chatsvia for a business, that business must be legitimate and operate in compliance with all laws that apply to it.
4. Your account
Accounts are created and authenticated through iiniit single sign-on (SSO). You are responsible for:
- Keeping your login credentials confidential and not sharing them.
- Everything that happens under your account, whether you did it yourself or not.
- Providing accurate information when signing up or connecting a Facebook Page.
- Notifying us immediately at [email protected] if you suspect unauthorised access.
5. Acceptable use
You agree to use Chatsvia only for lawful purposes and in a way that respects other people. In particular, you must not:
- Send spam, scams, deceptive, or misleading messages to customers.
- Use Chatsvia to violate Meta's Platform Policies, Community Standards, Messenger Policy, or WhatsApp Business Policy.
- Upload or distribute content that is illegal, hateful, harassing, defamatory, obscene, or infringes someone else's rights.
- Attempt to reverse engineer, decompile, scrape, or extract the source code or underlying models of Chatsvia.
- Probe, scan, overload, or otherwise attempt to compromise the security or integrity of our systems.
- Resell, sublicense, or rent the service to a third party without our written permission.
- Use Chatsvia to generate content that impersonates real people, businesses, or government authorities.
We may investigate and take appropriate action — including suspending or terminating your account — for any violation.
6. Subscriptions and billing
Chatsvia is offered on a Free plan and paid monthly subscription plans (e.g. Basic and Premium). Paid plans are billed in Bangladeshi Taka (BDT ৳) through our payment processor. By upgrading, you authorise us (and our processor) to charge the plan's monthly fee on a recurring basis until you cancel.
Usage limits (conversations, AI messages, products) are listed on the pricing page at the time you subscribe. If you reach a limit, the AI will pause auto-replies for the remainder of the billing month. Your data and dashboard remain accessible.
Taxes, if any, are your responsibility unless we explicitly state otherwise on your invoice.
7. Refunds and cancellation
You can cancel your subscription at any time from the Billing page in your dashboard. If you cancel within the first 7 days of a paid subscription, you are entitled to a full refund. After 7 days, cancellations are effective at the end of your current billing period and we do not issue prorated refunds.

8. Intellectual property
Chatsvia, the Chatsvia name, logo, interface, software, and all related materials are owned by iiniit and are protected by copyright, trademark, and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to use Chatsvia for your own business in accordance with these Terms.
You must not remove or alter any copyright, trademark, or other proprietary notices in Chatsvia.
9. Your content and licence to us
You keep ownership of everything you upload or create through Chatsvia — including your business profile, product catalog, product images, policies, and the conversations routed through your Facebook Page ("Your Content").
To run the service, you grant us a limited, worldwide, royalty-free licence to host, store, process, transmit, and display Your Content — only as needed to operate Chatsvia for you. This licence includes sending conversation content to our AI provider so it can generate replies to your customers.
You are responsible for making sure you have the rights to upload the content you share with us, including product images.
10. Third-party services
Chatsvia relies on third-party services to function, including Meta (Facebook Messenger and WhatsApp Cloud API webhooks and APIs), our AI provider, our email provider, our hosting provider, and our payment gateway. Using Chatsvia means your use is also subject to those providers' terms and policies where applicable.
We are not responsible for the availability, accuracy, or behaviour of third-party services. If a third-party service changes its policies or APIs, parts of Chatsvia may change or stop working and we will adapt as quickly as reasonably possible.
11. Availability and changes
We aim for Chatsvia to be available around the clock, but we do not guarantee any specific uptime or performance. We may schedule maintenance, add or remove features, or change how the product works at any time. Where practical, we will give you reasonable advance notice of changes that materially affect your use.
12. Disclaimer of warranties
Chatsvia is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy of AI-generated replies. AI output can be wrong. You are responsible for reviewing orders, prices, and replies that matter to your business.
13. Limitation of liability
To the fullest extent permitted by law, iiniit and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages — including lost profits, lost revenue, lost data, or business interruption — arising out of or related to your use of Chatsvia, even if we have been advised of the possibility of such damages.
Our total aggregate liability for any claim arising out of or related to Chatsvia is limited to the greater of (a) the total amount you paid us for Chatsvia in the three months before the event giving rise to the claim or (b) one hundred US dollars (US$100).
14. Indemnification
You agree to defend, indemnify, and hold harmless iiniit and its affiliates from any claim, demand, loss, liability, or expense (including reasonable legal fees) arising out of (a) your use of Chatsvia, (b) Your Content, (c) your violation of these Terms, or (d) your violation of any law or the rights of a third party.
15. Suspension and termination
You can stop using Chatsvia and close your account at any time. We may suspend or terminate your access immediately, with or without notice, if we believe you have violated these Terms, endangered our systems or other users, or that we are required to do so by law. On termination, the licences granted to you stop and we may delete your data in accordance with our Privacy Policy.
16. Governing law
These Terms and any dispute arising from them are governed by the laws of Bangladesh, where iiniit is headquartered, without regard to conflict-of-laws principles. Subject to applicable consumer protection laws you cannot waive, you and iiniit agree to the exclusive jurisdiction of the competent courts in Dhaka, Bangladesh.
17. Changes to these terms
We may update these Terms from time to time. If we make a material change, we will update the "Last updated" date at the top of this page and, where appropriate, notify you by email or an in-app notice. Your continued use of Chatsvia after the change means you accept the updated Terms.
